ARTICLE I
NAME
The name of the Club shall be Central Lakes Corvette Club (hereinafter referred to as the “Club”).
ARTICLE II
COLORS
The Club colors shall be red, white, and black.
ARTICLE III
PURPOSE / MISSION
Section 1.
The purpose / mission of the Club is to:
- A. Promote interest in Corvettes;
- B. Promote courtesy and safety on the road;
- C. Promote enjoyment and goodwill among Corvette owners;
- D. Provide opportunities for social activities for Club members;
- E. Provide a forum in which Club members may share information regarding the maintenance, operation, and performance of Corvettes; and
- F. Provide information to Club members with respect to events which they may attend or in which they may participate.
Section 2.
The Club is not organized and shall not be operated for pecuniary gain or profit.
ARTICLE IV
MEMBERS
Section 1.
Membership in the Club is open to persons who own a Corvette.
Section 2.
Club members must be 18 years of age or older.
Section 3.
A. Applicants for membership in the Club must submit an application along with payment of the Club dues then in effect.
B. The application for membership shall be submitted for approval at the first meeting of Club members attended by the applicant following receipt of the application and payment of dues.
C. Upon approval, the applicant and their spouse, partner, or significant other residing in the same household become members of the Club.
Section 4.
Club members may:
- A. Participate in all Club events;
- B. Vote on Club business;
- C. Serve as an officer of the Club;
- D. Serve as chairperson or co-chairperson of a Club event;
- E. Display the Club logo on their Corvette or apparel.
Section 5.
A. Voluntary Termination:
A Club member may voluntarily terminate their membership by directing a letter or email to the Club President stating their intent.
Termination of Club membership will be effective upon the President’s receipt of the letter or email.
The President shall inform Club members of the termination at the next Club meeting.
Dues previously paid will not be refunded.
B. Involuntary Termination:
Loss of Corvette Ownership
a. Membership in the Club shall automatically terminate if a member ceases to own a Corvette.
b. A member shall be allowed a grace period of ninety (90) days for vehicle replacement.
c. Dues previously paid shall not be refunded.
Member Emeritus Status
a. A member in good standing who ceases to own a Corvette due to illness, injury, or other disability limiting operation of a motor vehicle may request designation as a Member Emeritus.
b. A Member Emeritus may attend meetings and participate in discussions but may not make motions, second motions, or vote.
c. Annual dues for a Member Emeritus shall be waived.
Nonpayment of Dues
a. Membership shall automatically terminate if annual dues are not paid within ninety (90) days of the due date.
Termination for Cause
a. Membership may be terminated for actions deemed contrary to the best interests of the Club.
b. The member shall be notified of the allegation(s).
c. Termination shall require a vote of two-thirds (2/3) of the Club members present at the next meeting.
d. Voting shall be conducted by written ballot.
e. Dues paid for the current year shall be refunded in full.
Reinstatement
a. A former member terminated due to loss of Corvette ownership or nonpayment of dues may reapply for membership.
b. A former member terminated for cause must be nominated for reinstatement and approved by a two-thirds (2/3) vote.
c. Reinstated members must pay full annual dues.
ARTICLE V
BOARD OF DIRECTORS
Section 1.
The Board of Directors shall consist of all current elected officers and all active members who served as an elected officer within the past three (3) years.
Section 2.
The President shall serve as chairperson.
Section 3.
Meetings shall be held when called by the President.
Section 4.
A majority shall constitute a quorum.
Section 5.
Meetings may be held in person, by telephone, or by remote communication.
Section 6.
The Board shall:
- A. Approve a bank for Club funds;
- B. Approve expenditures;
- C. Assist and advise the President.
ARTICLE VI
OFFICERS
Section 1.
The officers shall be a President, Vice-President, Secretary, and Treasurer.
Section 2.
The President shall:
- A. Perform duties of the office;
- B. Serve as spokesperson;
- C. Preside at meetings;
- D. Prepare meeting schedules;
- E. Coordinate activities;
- F. Appoint event chairs.
Section 3.
The Vice-President shall:
- A. Perform duties of the President in their absence;
- B. Gather new member information.
Section 4.
The Secretary shall:
- A. Record and distribute minutes;
- B. Maintain records and roster;
- C. Communicate updates.
Section 5.
The Treasurer shall:
- A. Maintain financial records;
- B. Receive and deposit funds;
- C. Provide reports;
- D. Disburse funds as authorized;
- E. Track delinquent dues.
ARTICLE VII
ELECTION OF OFFICERS
Section 1.
The President shall appoint a nominating committee by July 31.
Section 2.
The committee shall be announced in August.
Section 3.
Candidates shall be presented in September.
Section 4.
- A. Elections shall be held at the annual meeting in October.
- B. Additional nominations may be made from the floor.
- C. Voting order shall be President, Vice-President, Secretary, Treasurer.
- D. Voting shall be by written ballot when necessary.
- E. A majority vote (50% +1) is required.
- F. Run-off voting shall occur if necessary.
- G. Ties shall be decided by coin flip.
ARTICLE VIII
TERMS OF OFFICE
- A. Terms shall begin January 1 and end December 31.
- B. Officers serve one-year terms and may be re-elected.
ARTICLE IX
REMOVAL OF OFFICERS
- A. Officers may be removed for failure or misconduct.
- B. Removal requires a two-thirds (2/3) vote.
- C. Voting shall be by written ballot.
ARTICLE X
MEETINGS
Section 1. Annual Meeting
- A. Held first Tuesday in October.
- B. Date, time, and location set by President.
Section 2. Regular Meetings
- A. Held first Tuesday of April, May, June, August, September and second Tuesday of November.
- B. Schedule communicated to members.
Section 3. Special Meetings
- A. May be called by President, three Board members, or ten members.
- B. One-week notice required.
- C. Limited to stated topics.
Section 4. Quorum
- A. Twenty (20) members required.
- B. Actions at quorum constitute Club decisions.
Section 5. Remote Communication
- A. Meetings may be held remotely if necessary.
- B. Participation counts toward quorum.
ARTICLE XI
FINANCES
Section 1.
Funds shall be held in a Club bank account.
Section 2.
Checks may be signed by Treasurer or President.
Section 3. Dues
- A. Dues set by two-thirds (2/3) vote at May meeting.
- B. Dues are due by June 1.
Section 4. Expenditures
- A. Over $400 requires membership approval.
- B. $400 or less may be approved by the Board.
- C. President shall report expenditures.
ARTICLE XII
FISCAL YEAR
The fiscal year shall begin January 1 and end December 31.
ARTICLE XIII
PARLIAMENTARY AUTHORITY
Robert’s Rules of Order shall govern all matters not covered by these By-Laws.
ARTICLE XIV
AMENDMENTS
Amendments require a majority vote of members present at a meeting.
ARTICLE XV
DISSOLUTION
Upon dissolution, assets shall be distributed to the National Corvette Museum in Bowling Green, Kentucky.
ARTICLE XVI
EFFECTIVE DATE
These By-Laws shall be effective immediately upon approval and shall supersede all prior versions.
