Constitution and Bylaws of Central Lakes Corvette Club

Article I – Name
The name of the Club shall be Central Lakes Corvette Club (hereinafter referred to as the “Club”).
Article II – Colors
The Club colors shall be red, white, and black.
Article III – Purpose / Mission
Section 1 – Mission
The purpose and mission of the Club is to:
Promote interest in Corvettes
Promote courtesy and safety on the road
Promote enjoyment and goodwill among Corvette owners
Provide opportunities for social activities for Club members
Provide a forum for sharing information on the maintenance, operation, and performance of Corvettes
Provide information to Club members regarding Corvette-related events they may attend or participate in
Section 2 – Nonprofit Status
The Club is not organized and shall not be operated for pecuniary gain or profit.
Article IV – Members
Section 1 – Eligibility
Membership in the Club is open to persons who own a Corvette.
Section 2 – Age Requirement
Club members must be 18 years of age or older.
Section 3 – Application for Membership
A. Applicants must submit an application via the Club’s website with payment of current dues.
B. Applications are reviewed and approved at the next Club meeting attended by the applicant.
C. Upon approval, both the applicant and their spouse, partner, or significant other residing in the same household become members.
Section 4 – Rights of Members
Club members may:
Participate in all Club events
Vote on Club business
Serve as an officer of the Club
Serve as chairperson or co-chairperson of a Club event
Display the Club logo on their Corvette or apparel
Section 5 – Termination of Membership
A. Voluntary Termination
A member may voluntarily terminate membership by sending a letter or email to the President stating their intent.
Termination is effective upon the President’s receipt of the letter or email.
The President shall inform members of the termination at the next Club meeting.
Dues previously paid will not be refunded.
B. Involuntary Termination
If a member ceases to own a Corvette, membership automatically terminates.
a. A 90-day grace period is allowed for vehicle replacement.
b. Dues paid by a member who no longer owns a Corvette will not be refunded.If a member fails to pay annual dues within 90 days of the due date, membership automatically terminates.
Membership may be terminated for actions contrary to the best interests of the Club.
a. The member shall be notified of the allegations.
b. At the next regular meeting, membership may be terminated by a two-thirds (2/3) vote of members present.
c. Voting shall be by written ballot.
d. Dues paid by a member terminated for cause shall be refunded in full.A former member terminated for ceasing to own a Corvette or for nonpayment of dues may reapply for membership.
A member terminated for cause may be reinstated by motion of an active member and a two-thirds (2/3) vote at a meeting, after paying current-year dues.
Article V – Board of Directors
Section 1
The Board of Directors shall consist of all current elected officers and all active members who have served as officers within the past three years.
Section 2
The current Club President shall serve as Chairperson of the Board.
Section 3
Meetings of the Board shall be held when called by the President.
Section 4
A majority of the Board of Directors shall constitute a quorum.
Section 5
Meetings may be held in person, by telephone, or by remote communication permitting contemporaneous participation.
Section 6 – Duties
The Board of Directors shall:
Approve a bank in which to deposit Club funds
Approve expenditures as provided in Article XI, Section 4B
Assist and advise the President in Club operations
Article VI – Officers
Section 1 – Elected Officers
President, Vice-President, Secretary, and Treasurer.
Section 2 – President
Performs duties normally incident to the office
Serves as official spokesperson for the Club
Presides over all meetings
Prepares and publishes the Schedule of Club Meetings and Events
Advises all members of schedule changes
Coordinates Club activities
Designates event chairpersons
Section 3 – Vice-President
Performs the duties of the President in their absence
Gathers new member information for the Secretary
Section 4 – Secretary
Prepares and distributes meeting minutes
Maintains minutes and membership records
Provides updates and meeting reminders to members
Maintains all Club records
Section 5 – Treasurer
Maintains records of all dues and funds received
Deposits funds in the Club’s bank account
Maintains disbursement records
Provides financial reports at meetings and annually
Disburses funds as authorized
Advises the President of delinquent members
Provides a final report when leaving office
Article VII – Election of Officers
Section 1
By July 31 each year, the President shall appoint three members to serve as a Nominating Committee.
Section 2
At the August meeting, the President announces the names of the committee members and invites nominations.
Section 3
At the September meeting, the committee reports the nominated candidates.
Section 4
At the October annual meeting:
A. The committee nominates candidates.
B. Additional nominations may be made from the floor.
C. Elections are held for President, Vice-President, Secretary, and Treasurer in that order.
D. Voting is by written ballot.
E. A majority vote (50% + 1) is required for election.
F. If more than two candidates are running, a runoff is held between the top two.
G. In the event of a tie, a coin flip determines the winner.
Article VIII – Terms of Office
A. Officer terms begin January 1 and end December 31.
B. The President and Vice-President may serve one additional year if approved by majority vote.
C. The Secretary and Treasurer may serve unlimited consecutive terms with majority approval.
Article IX – Removal of Officers
A. Elected officers may be removed for failure to perform duties.
B. Any member may make a motion for removal.
C. Removal requires a two-thirds (2/3) vote of members present.
D. The vote shall be by written ballot.
Article X – Meetings
Section 1 – Annual Meetings
A. Held the first Tuesday in October each year.
B. Date, time, and place are set by the President.
C. Members are notified of any changes.
D. Officers for the next year are elected at this meeting.
Section 2 – Regular Business Meetings
A. Held the first Tuesday of April, May, June, July, August, and September, and the second Tuesday of November.
B. Date, time, and place are set by the President.
C. Members are notified of any changes.
Section 3 – Special Meetings
A. The President, any three Board members, or any ten Club members may call a special meeting.
B. At least one week’s notice is required.
C. Business is limited to matters stated in the meeting notice.
Section 4 – Quorum
A. A quorum for Club meetings shall be twenty (20) members.
B. Actions taken with a quorum present constitute official Club action.
Section 5 – Remote Meetings
A. If in-person meetings cannot be held, the President (with Board approval) may hold meetings remotely.
B. Applies to annual, regular, or special meetings.
C. Remote participation counts as attendance.
D. Actions taken in such meetings are valid if a quorum is present.
Article XI – Finances
Section 1
Club funds shall be held in a bank account under the name Central Lakes Corvette Club.
Section 2
Checks may be signed by either the Treasurer or the President.
Section 3 – Dues
A. Annual dues are determined by a two-thirds (2/3) majority vote at the May meeting.
B. Dues are payable by June 1 and effective immediately.
Section 4 – Expenditures
A. Expenditures over $400 require majority approval at a meeting.
B. Expenditures $400 or less may be approved by the Board of Directors.
C. The President reports all approved expenditures at the next meeting.
Article XII – Fiscal Year
The fiscal year runs from January 1 through December 31.
Article XIII – Parliamentary Authority
Robert’s Rules of Order shall govern all matters not specifically covered by these Bylaws.
Article XIV – Amendment
Amendments must be approved by a majority of Club members in attendance at the meeting where the amendment is proposed.
Article XV – Dissolution
Upon dissolution, all Club assets shall be distributed to the National Corvette Museum in Bowling Green, Kentucky.
Article XVI – Effective Date
These Bylaws take effect immediately upon approval and adoption and supersede all prior Bylaws adopted by the Club.
